Will overclocking damage my video card?

I have AMD ATHALON x2 5000+ Dual Core, 4 GB RAM and Nvdia Geforce 9400 GT (1 GB) graphic card, i want to play GTA IV i know it will be laggy, so will overclocking help me or it will just damage my video card|||You would damage it well before you saw a significant difference in a higher end game. Honestly you would be better off getting a 9600 witch would run it pretty good than run the risk of burning up what you have.|||it could help, but you need monitor the temperature so it doesn't get too hot.
